Translation Warranty

A warranty and representation that, where a contract or legal instrument is required to be in a local language, that any and all translation presented by the local party, both to the counterparty and filed or submitted any relevant authority or recording office is/are complete and accurate. Thus, to take an example, an NNN Agreement, to be enforceable in China must be written in Chinese. A translation warranty with respect to that agreement is a representation from the Chinese party that the translation to say English is a fair and accurate translation and that the Chinese party recognizes that the non-Chinese party is relying on the accuracy of the translation and the Chinese party warrants that accuracy. It creates a problem if the warrantying party wants to claim a different meaning later.
