Personal – License

The words of grant of a license, particularly an intellectual property license will, from time-to-time, describe that license as “personal.” The term normally means that the license permits use only by the licensee, or if a business entity, its employees. The term “personal” is usually bolstered by prohibitions on sub-licensing and/or assignment, but it can, alone, be considered to prohibit sub licensing, assignment or transfer.
