Alter-Ego Liability

A term related to Piercing the Corporate Veil, it refers to conduct by an individual or entity with respect to an otherwise limited liability company or corporation that negates the limitation on liability and makes the individual or entity liable. It generally suggests that the party accused of it failed to consistently treat the company as an entity different or apart from themselves, but for example treating its assets as their own, commingling assets and moneys, etc. It is a particular risk between parents and subsidiaries in complex corporate structures.
