A clause designed to deal with rights or obligations not otherwise allocated under an agreement. For instance, in a development agreement, resolving who owns any intellectual property not clearly dealt with in more specific provisions of the agreement will usually be done by a sweeper clause. Sweeper clauses are common in licenses, leases and loan agreements.
